AUDITION AND PARTICIPATION RULES FOR THE
"MOVIE MOB" PROGRAM
(THIS IS AN ENTERTAINMENT PROGRAM AND NOT A SWEEPSTAKES AND NO PRIZES WILL BE AWARDED)
THE PROGRAM:
The "
REELZCHANNEL "MOVIE MOB" PROGRAM AND PARTICIPATION" ("Program") will be ongoing until it ends at a date to be announced in the future by ReelzChannel by a written posting of the termination date on the website: "reelzchannel.com" ("Entry Period"). The Producer of this Program is ReelzChannel Productions, LLC, a 1201 West 5th Street T-900, Los Angeles, CA 90017 (the "Producer"). The Program shall be subject to these Official Rules, and by entering an audition, all participants agree to be bound by the terms and conditions herein. These Official Rules are also subject to the "Terms and Conditions" which govern the Terms of Use of the website "reelzchannel.com" --INSERT LINK HERE-. To the extent that the Official Rules conflict with the "Terms and Conditions" which govern the Terms of Use of the website then the Official Rules will prevail and control. Producer reserves the right to change, alter, and amend the Official Rules at any time, as well as, in its sole and absolute discretion, to modify and/or to cancel, terminate, modify or suspend all or any part of the Program at any time.
ELIGIBILITY:
This Program is open to all international territories worldwide to individuals or groups of individuals working as a team [hereinafter individually and collectively referred to as "Participant(s)"]. A minor in the jurisdiction in which they reside may only participate as part of an entry audition provided the primary entrant is a person eighteen (18) years or older and only with the permission of his or her parent or legal guardian. Producer reserves the right to request proof of such permission for any minor and certain jurisdictions may require that the primary entrant be nineteen (19) years or older . Participant(s) may not participate in this Program if they are under contract with any third party which might interfere with their ability to enter into agreements with any of the Related Parties (as defined herein) or their designees, as determined by the Producer, in its sole and absolute discretion. Employees and their immediate families (defined as parents, children, siblings and spouse and their respective spouses, regardless of where they reside) of the Producer, and their respective parent companies, subsidiaries, and related companies, agencies, and the judging panel, collectively the "Related Parties", and those living in the household of same, whether or not related, are not eligible to participate. This Program is void where otherwise prohibited by law. By entering, Participant(s) represent that they have read these Official Rules (including Terms and Conditions of the website) and agree to abide by and be bound by all terms of these Official Rules.
HOW TO PARTICIPATE::
You may participate in the Program by visiting the website
www.reelzchannel.com (the "Entry Site") and following the entry participation instructions for this Program located on the Movie Mob pages. At the Entry Site you will find the following:
1. Complete the entry registration instructions of how to email Producer your audition. You will be asked to provide certain personal information such as name(s), complete mailing address, telephone number, age, and e-mail address. Group participations are allowed provided all members of the group provide the registration information. PARTICIPANT(S) MAY SUBMIT FOR PARTICIPATION IN THE PROGRAM AS OFTEN AS THEY LIKE. SUBMISSIONS THAT DO NOT MEET THE REQUIREMENTS SPECIFIED BELOW WILL BE CONSIDERED VOID AND BE DEEMED DISQUALIFIED
2. Participant(s) will initially enter the Program for purposes of auditioning and being considered as a Program Finalist. Participant(s) will be eligible for such consideration by following the instructions on the website which may call for a Participant to discuss a movie that had a big impact on them; or call for the Participant to attend a specific movie as well as view certain movie trailers available on the Internet; or some other assignment related to the Movies. Participant(s) will be given the assignment on the Movie Mob web pages. Based on Participant(s) fulfilling the assignment the Participant(s) will produce and upload a video of Participant(s) giving a personalized review. Although emails regarding video uploads are preferred, in order to provide the most people with an opportunity to become Program Finalists the Participant(s) for an initial entry attempts may substitute an email with a written review accompanied by a photo of Participant(s) in lieu of a uploaded video review; however once a Participant(s) is selected as Program Finalist, then going forward, they will be required to submit emails regarding their uploaded video review entries only. Technical specifications the entry of an email and uploaded video entry are on the Movie Mob web pages and may involve either a .MOV, .AVI or .MPG file. Entry video(s) must be no longer than six (6) minutes in duration. Written entries can be either an email with attached JPEG photo of yourself; or a Microsoft Word document with attached JPEG photo of yourself. For participants who are selected to become Finalists, the Producer will co-produce and provide guidance and direction on all Program Finalist entries to ensure that the Program Finalist reaches the full potential for the video review however, the Program Finalist will create and produce the majority of the contributions to the video review and Producer will only be providing direction and support.
3. In order for Participant(s) to complete an entry submission, Participant(s) will be required to agree with and accept the "Official Rules", follow the instructions on the Movie Mob web pages and, if selected as a Finalist, sign and return to Producer a "Submission Agreement Form" for each Participant .
4. IMPORTANT NOTE: IF THE ENTRY CONTAINS ANY MATERIAL OR ELEMENTS THAT ARE NOT OWNED BY THE PARTICIPANT AND/OR WHICH ARE SUBJECT TO THE RIGHTS OF THIRD PARTIES, THE PARTICIPANT IS RESPONSIBLE FOR OBTAINING, ANY AND ALL RELEASES AND CONSENTS NECESSARY TO PERMIT THE USE AND EXHIBITION OF THE ENTRY BY PRODUCER IN THE MANNER SET FORTH IN THESE OFFICIAL RULES, INCLUDING, WITHOUT LIMITATION, NAME AND LIKENESS PERMISSIONS FROM ANY PERSON WHO APPEARS IN OR IS IDENTIFIABLE IN THE ENTRY. IF ANY IDENTIFIABLE PERSON APPEARING IN THE ENTRY IS UNDER THE AGE OF MAJORITY IN HIS/HER AREA OF RESIDENCE, HIS/HER PARENT OR LEGAL GUARDIAN IS REQUIRED TO PROVIDE PERMISSION. PRODUCER RESERVES THE RIGHT TO REQUEST PROOF OF THESE PERMISSIONS IN A FORM ACCEPTABLE TO PRODUCER FROM ANY PARTICIPANT AT ANY TIME. BY SUBMITTING AN ENTRY, PARTICIPANT (OR, IF AN ELIGIBLE MINOR, HIS/HER PARENT OR LEGAL GUARDIAN) WARRANTS AND REPRESENTS THAT HE/SHE AND ANY PERSONS APPEARING OR WHO ARE IDENTIFIABLE IN THE ENTRY CONSENT TO THE SUBMISSION AND USE OF THE ENTRY IN THE PROGRAM AS DETAILED IN THESE OFFICIAL RULES.
5. Producer in its sole discretion shall determine if any submitted entry is inappropriate for presentation on Producer's Web site or consideration in this Program for any reason. Any such entries deemed to be inappropriate (including, without limitation, due to technical, legal, or other clearance problems) will be disqualified and will not be judged in this Program.
PRIVACY INFORMATION:
The information obtained from the entry will be used by Producer in accordance with Producer's "Privacy Policy" for the website "reelzchannel.com", INSERT LINK HERE. The laws of the State of California apply to and govern this Program and any claims must be raised and resolved in the Federal and state courts located in Los Angeles County, California, United States.
PRELIMINARY AUDITIONS & FINALIST SELECTION:
All eligible preliminary audition entries received will be judged according to the following criteria: creativity, originality, and production value. All preliminary audition judging will be done by a panel of qualified judges selected by the Producer. The entries judged to have achieved the highest score/rating according to the above-specified criteria shall be declared the Program Finalists. Producer reserves the right to choose the exact number of Program Finalists. The Program Finalists will be notified by telephone, mail, overnight delivery and/or e-mail of their selection to participate. The Program Finalists (or potential Finalist's parent or legal guardian if potential Finalist is a minor in the jurisdiction in which he/she resides) will be required to execute and return a signed "Submission Release", along with a completed IRS W-9 form, within three (3) days of date of receipt of notification. Failure to return all required documents within the deadline may result in the forfeiture of the position of a Program Finalist and, at Producer's discretion an alternate Finalist may be selected. Any Finalist notification returned to Producer or its fulfillment company as undeliverable for any reason will be forfeited and, at Producer's discretion, awarded to an alternate. If an alternate determination is necessary for any reason, an alternate entry shall be declared a Program Finalist. For each Finalist Entry there will be one reimbursement of One Hundred Dollars ($100.00 U.S.) to the Primary participant for the applicable Finalist Entry provided by a Participant; and which reimbursement will be deemed to cover all of the costs incurred by Participant's participation for such applicable finalist Entry including but not limited to attending and reviewing the movie and movie trailers and also deemed as sufficient additional consideration for Participant(s) participation. The primary Participant will be designated by Producer as the payee and Producer has no obligation to any other Participant participating with such Finalist Entry with respect to any payment of any consideration including but nor limited to the one-time payment of One Hundred Dollars ($100.00 U.S.).
FINALIST PARTICIPATION:
The Finalist selected to be on Program will work with Producer regarding the production direction and performance of the assignments. In the first week of the Program Producer will select the Program Finalists to appear on the Program and Producer anticipates that number to be ten (10) but reserves the right to modify that number. The Finalists not selected will may qualify to be alternates for Finalists that do not comply with the Official Rules; or may qualify to be selected to participate in the Program when other Finalists are voted off the Program. The qualifying Finalists will have their FINALIST ENTRIES judged in the identical judging criteria stated above and also in accordance with the public voting procedure set forth below. Producer will collaborate with each Finalist and Finalist will follow the directions of Producer regarding the production values, production techniques and creative direction of the FINALIST ENTRIES, including without limitation, camera position, lighting, and sound. Producer will post in any and all media, for public voting purposes, the completed FINALIST ENTRIES of the selected Program Finalists. Producer also reserves the right to post in any and all media additional bonus footage and information about the Finalists for public viewing. Based on the results of the public voting during applicable voting period the three (3) Program Finalists who receive the fewest votes will be eliminated. Producer will replace the eliminated Program Finalists with new Program Finalists. When new Finalists are selected the process of FINALIST ENTRIES will begin again with new assignments and again the judging and the voting process will determine which Finalists stay and which Finalists are voted off. At all times, Producer reserves the right to override, in Producer's sole discretion, the elimination of one (1) of the eliminated Finalists for each applicable public voting period. .
OTHER TERMS:
1. Producer shall have the right to disqualify any entries that Producer has determined, in its sole and exclusive opinion, fail to meet the Program criteria, expose Producer to any unacceptable degree of technical, legal or financial risks or problems, use text, music, video material, photographs and/or graphics and/or other components in a manner objectionable to Producer, as determined by Producer in its sole discretion (including but not limited to content deemed by Producer to be in bad taste, or which contains violence, is sexually explicit or otherwise offends or denigrates any group or class of people or could reflect unfavorably on Producer). Entries may not defame or invade the publicity or privacy rights of any person, living or deceased, or otherwise infringe upon any person's personal or proprietary rights. Producer and Judges' decisions are final and binding with respect to all matters relating to this Program. As stated, airing of a Finalist video is at the sole discretion of Producer and no promise or guarantee of such airing is implied.
2. Each Finalist is responsible for all federal, state and local taxes and fees associated with receipt of compensation. Each participant and Finalist is responsible for any costs such may incur in connection with the Program. Each participant agrees to be bound by these Official Rules and Producer's and judges' decisions, which are final and binding in all respects, and to waive any right to claim ambiguity in the Program or these Official Rules. The Producer and its respective affiliated and subsidiary companies, licensees, designees, successors and assigns officers, directors, shareholders, employees and agents, and any and all Internet servers and access provider(s) are not responsible for: any incorrect or inaccurate entry information; human errors; technical malfunctions; failures, omissions, interruptions, deletions or defects of any telephone network, computer online systems, computer equipment, servers, providers, or software, including without limitation any injury or damage to participant's or any other person's computer relating to or resulting from participation in the Program; inability to access any website(including the Entry Site); inability to upload entry material; theft, tampering, destruction, or unauthorized access to, or alteration of, entries; data that is processed late or incorrectly or is incomplete or lost due to telephone, computer or electronic malfunction or traffic congestion on telephone lines or the Internet or any website (including the Entry Site); typographical, printing, human or other errors relating to or in connection with the Program, including, without limitation, errors which may occur in connection with the Program and/or the Entry Site, the processing or judging of entries, the announcement of the Finalists or in any Program-related materials, or for any other reason whatsoever. Proof of submitting an entry is not considered proof of delivery or receipt. Illegible and incomplete entries will be disqualified. All entries become the property of the Producer and will not be returned or acknowledged. False and/or deceptive entries or acts shall render participants ineligible and their entries will be void.
3. Participants further agree to release, forever discharge, indemnify and hold harmless, and covenant not to sue, the Assignees (as defined below) from and against any claims, damages, expenses or liability arising from or related to any injuries, damages or losses (collectively, "Loss") to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from Participant's participation or inability to participate in this Program, including, without limitation, Participant's breach of any terms or representations contained in these Official Rules (and where applicable, the Program Entry Release Form terms) or the use by the Producer and its parent, affiliates, subsidiaries and assigns of any of the rights granted by Participant or Participant's acceptance of or use or inability to use any consideration (including any injury or harm resulting from use or enjoyment of the consideration or elements thereof, whether under a theory of contract, tort (including negligence), warranty or other theory.
4. This Program is subject to all applicable federal, state and local laws and regulations. All Participants represent and warrant that any material that he or she submits is Participant's original creation, has not been previously published or won an award, does not infringe upon the copyright or any other right or interest of any other person or organization, and that the participant has not previously granted any rights to such material to any other person or organization, nor does any third party have any interest in such materials. Producer reserves the right to conduct background checks on any Finalist and to verify the accuracy or legitimacy for truthfulness of any information contained within the submitted entry.
5. OWNERSHIP & EXPLOITATION: Producer will be the sole, exclusive and perpetual owner of Participant's submitted materials, elements, inclusive of entries and video(s) (collectively "Work"), which ownership entitles Producer, among other things, to all right, title and interest in the copyright in and to the Work. By entering this Program, participants (i) agree that all entries and any other materials submitted (whether acceptable or not, regardless of the form they take) will be owned exclusively by Producer, (ii) waive all rights of droit moral and other rights of authorship in and to the material submitted, and (iii) grant Assignees (as defined below) the absolute and exclusive right and permission to edit, modify, publish, exploit and use the content of and elements embodied in the Work itself worldwide in perpetuity in any and all media (whether now existing or hereafter devised)and in any manner, for trade, advertising, promotional or any other purposes without further approval, permission or consideration. Participant acknowledges that, Participant has no objections and Participant understands that the rights Participant grants inclusive of the exploitation of the video elements and related material may potentially be embarrassing to Participant or which may take Participant's statements or actions out of context, and/or attribute thoughts beliefs motives, emotions, states of mind, actions or ideas to Participant which may not accurately reflect participant own thoughts, beliefs, motives emotions, states of mind actions or idea is or which may be harmful to Participant's character or reputation. Participant hereby acknowledge that the Work shall, from the inception of its creation, be considered a “work made for hire” for Producer within the meaning of the Copyright Act of 1976 (Title 17, U.S.C.), and shall be entirely Producer's property in perpetuity throughout the universe, free of any claims whatsoever by Participant and/or by any persons or entities deriving any rights or interests from Participant ("Participant Related Parties"). To the extent said Work is not recognized as a “work-made-for-hire”, and to the extent that Producer is not deemed to be the author thereof in any territory of the universe, Participant hereby irrevocably assigns the Work to Producer (including the entire copyright therein), and grants to Producer all rights therein, including without limitation, all rights of copyright and copyright renewal in said Work, any so-called “SACEM home video payment rights,” “Rental and Lending rights” and “Neighboring Rights” pursuant to any European Economic Community directives and/or enabling or implementing legislation, laws or regulations (collectively “EEC Rights”), throughout the universe in perpetuity, but in no event shall the period of the assignment of rights being granted to Producer hereunder be less than the period of copyright and any renewals and extensions thereof. To the extent that any law prohibits the aforementioned work-for-hire and/or assignment of any of Participant's rights to the Work, then participant hereby grants an unrestricted exclusive license to Producer for the Work by which Producer may exploit the work in any media now or hereinafter known in perpetuity throughout the universe.
6. Participant further warrants and represents that none of the elements comprising the entry nor the performances embodied thereon, nor any other materials submitted by Participant, nor any use thereof by Producer, or its grantees, licensees or assigns will violate or infringe upon the rights of any third person or entity. If requested by Producer, Participant agrees to submit to Producer additional documentation verifying that Participant has obtained appropriate waivers regarding and/or releases for the use of the name, likeness and/or image of any person appearing in the entry; provided however, that Producer's failure to request such additional documentation shall not be construed to limit Participant's representation and warranty that all such clearances and permissions have been obtained.
7. Participants also agree that Producer, and its respective affiliated and subsidiary companies, licensees, designees, successors and assigns officers, directors, shareholders, employees and agents, and any and all Internet servers and access provider(s) (collectively, "Assignees") shall have the right and permission to use the name, city and state of residence, signature, voice, picture or other likeness, entry, entry information and/or entry submission of participant in any manner or media now or hereafter known (including, without limitation, placing participant's name, entry, and/or entry information onto the Producer's web site(s) or other site(s) promoting this Program) without further consideration or notification to or permission from participant or any third party, except where prohibited by law. Participants hereby assign all their right, title, and interest in and to the entry submission and other Program elements to Assignees, in perpetuity throughout the universe. Assignees shall not be liable for personal injuries, death, damages, expenses or costs or losses of any kind resulting from participation or inability to participate in this Program or acceptance of or use or inability to use any Producer consideration or parts thereof including, without limitation, claims, suits, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light (whether intentional or unintentional), whether under a theory of contract, tort(including negligence), warranty or other theory. Participants release the Assignees from any and all liability and responsibility with respect to the prizes (including any property loss, damage, personal injury, death or travel related hereto). Finalists acknowledge that the Assignees have neither made nor are in any manner responsible for any warranty, representation or guarantee, expressed or implied, in fact or in law, related to the Producer consideration. Assignees shall not be liable to Finalist or any other person for failure to supply a Producer consideration, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasigovernmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid),equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal) labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Assignees' sole control. If for any reason this Program is not capable of running as planned or does not allow the proper playing of the Program and processing of entries per these rules, or if tampering, unauthorized intervention, actions by participants, fraud, technical failures, or any other causes, in Producer's sole opinion, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Program, Producer reserves the right, in its sole discretion, to disqualify any individual (and void his/her entry) implicated in such action, and/or to modify or terminate the Program or further entry in this Program, as Producer deems appropriate. If modification or termination of this Program occurs, notification will be posted on the Entry Site and Producer may, at its sole discretion, judge all eligible, non-suspect entries received up to time of such action following the judging procedures described herein. Potential Program participants and/or Finalists may be requested to provide Producer with proof that all eligibility requirements are met. Participants voluntarily assume all risks associated with their participation.
ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE PRODUCER RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
